1. Acceptance of Terms
By accessing and using EasiWares ("Service") provided by Ekfix LLP, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service signifies your acceptance of any modifications.
2. Use License
Ekfix LLP grants you a non-exclusive, non-transferable, revocable license to use the Service for your personal or business retail management purposes. You agree not to:
- Reproduce, distribute, or transmit the Service content without permission
- Reverse engineer, decompile, or attempt to derive source code
- Use the Service for unauthorized or illegal purposes
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service's operation
- Use the Service to harm, threaten, or harass others
- Transmit malware, viruses, or malicious code
- Resell or redistribute the Service without authorization
3. User Accounts
3.1 Account Registration
To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your password and account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Keeping your account information current and accurate
3.2 Age Requirement
You must be at least 18 years old to use the Service. By creating an account, you warrant that you meet this requirement.
3.3 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited activities. Upon termination, your access to the Service will be revoked, but you may request your data in accordance with our Privacy Policy.
4. Intellectual Property Rights
4.1 Our Intellectual Property
All content, features, and functionality of the Service (including software, code, design, graphics, text, and layout) are owned by Ekfix LLP, its licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws.
4.2 Your Content
You retain all rights to content you create or upload to the Service (your products, sales data, customer information). By uploading content, you grant Ekfix LLP a worldwide, royalty-free license to:
- Store and process your data to provide the Service
- Use aggregated, anonymized data for analytics and improvement
- Backup and recover your data as needed
You are responsible for ensuring you have the right to use all content you upload, including customer data.
5. Subscription and Billing
5.1 Subscription Plans
EasiWares offers different subscription plans with varying features and pricing. All prices are displayed in Nigerian Naira (₦) oR US Dollars and may vary by region. Free trials are available as stated on our pricing page.
5.2 Payment
- Billing occurs monthly or annually based on your selected plan
- Payments are processed through third-party payment processors (e.g., Paystack)
- You authorize us to charge your payment method on the billing date
- Failed payments may result in service suspension
5.3 Refunds
Subscription fees are non-refundable except as required by applicable law. If you cancel your subscription, you retain access until the end of your current billing period. Refund requests must be made within 14 days of charge.
5.4 Free Trial
Free trials are provided for evaluation purposes only. Trial access will automatically convert to a paid subscription unless you cancel before the trial ends. We will remind you before charging.
5.5 Auto-Renewal
Your subscription automatically renews at the end of each billing period unless you cancel. You can manage your subscription and cancellation in your account settings.
6. Warranties and Disclaimers
6.1 "As Is" Service
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, EasiWares disclaims all warranties, express or implied, including:
- Merchantability or fitness for a particular purpose
- Accuracy, completeness, or non-infringement
- Uninterrupted or error-free operation
6.2 No Guarantee
We do not guarantee that:
- The Service will meet your requirements
- The Service will be available continuously or without interruption
- Errors will be corrected or defects remedied
- Data will never be lost or corrupted
6.3 Third-Party Services
The Service may integrate with third-party services (payment processors, SMS providers). We are not responsible for their actions, performance, or availability.
7. Limitation of Liability
7.1 Excluded Damages
To the fullest extent permitted by law, Ekfix LLP shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Business interruption or opportunity loss
- Damages arising from your use or inability to use the Service
7.2 Liability Cap
Our total liability for any claims shall not exceed 10% of the amount you paid for the Service in the 12 months preceding the claim, or ₦0 if you used the free tier.
7.3 Essential Terms
These limitations apply even if Ekfix LLP has been advised of the possibility of such damages.
8. Indemnification
You agree to indemnify, defend, and hold harmless Ekfix LLP and, its officers, directors, employees, and agents from any claims, damages, costs, or losses arising from:
- Your use of the Service
- Your violation of these Terms
- Your content or data uploaded to the Service
- Your infringement of intellectual property rights
- Claims by third parties related to your actions
9. Confidentiality
Ekfix LLP treats all business data and information provided through the Service as confidential. We will not disclose your data except:
- With your explicit consent
- To authorized team members under your account (Pro+ plans)
- As required by law or court order
- To service providers under confidentiality agreements
- When aggregated and anonymized for analytics
10. Data Responsibility
10.1 Your Data
You are responsible for:
- Ensuring you have rights to all customer data you upload
- Compliance with privacy laws regarding customer information
- Obtaining necessary consents from customers
- Maintaining backups of critical data
10.2 Our Responsibility
We implement reasonable security measures but cannot guarantee absolute protection. While we maintain backups, you should assume responsibility for data recovery in extreme scenarios.
10.3 Data Loss
Ekfix LLP is not liable for data loss except as required by applicable law. You should maintain regular backups of important data.
11. Offline Functionality
EasiWares includes offline functionality. When offline:
- Your data is stored locally on your device
- EasiWares does not have access to this locally-stored data
- You are responsible for protecting your device from unauthorized access
- Data is synchronized when you reconnect to the internet
- We are not liable for data loss on your local device
12. Prohibited Activities
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Engage in fraud, scams, or deceptive practices
- Harass, threaten, or harm others
- Exploit or abuse the Service's infrastructure
- Transmit malware, viruses, or malicious code
- Attempt unauthorized access to systems or accounts
- Engage in money laundering or financial crimes
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of Nigeria, without regard to its conflicts of law principles.
13.2 Arbitration
Any dispute arising from these Terms shall first be resolved through good faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration under the rules of the International Chamber of Commerce (ICC), conducted in Abuja, Nigeria.
13.3 Class Action Waiver
You waive the right to participate in any class action lawsuits against EasiWares.
13.4 Small Claims
Either party may pursue claims in small claims court in lieu of arbitration.

15. Modifications to Terms
Ekfix LLP reserves the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the Service following notification of changes constitutes acceptance of modified Terms. Please review these Terms periodically to ensure you remain informed of any updates.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, or if not possible, severed, and the remaining provisions shall remain in effect.
17. Electronic Communications
By creating an account, you consent to receive electronic communications from us. These may include transactional emails (e.g., OTP codes, billing alerts) and, if you have opted in, marketing and promotional messages. All marketing emails will include a frictionless "Unsubscribe" link, which will be honored within 7 days of receipt.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ekfix LLP regarding the Service and supersede all prior agreements, understandings, and communications.
